Clients acknowledge that business success depends on numerous factors beyond Magnitude’s control.

4. AI Services Disclaimer

You understand and agree that:

  • AI-generated outputs may contain errors or omissions.
  • AI-generated content should be independently reviewed before publication or use.
  • Magnitude makes no warranty regarding the accuracy of AI-generated outputs.
  • Users remain responsible for final business, legal, financial, medical, and marketing decisions.

AI tools are intended to assist—not replace—professional judgment.

5. User Responsibilities

Unless otherwise specified in a written agreement, clients own final deliverables created specifically for them. Magnitude retains ownership of all underlying methodologies, prompts, workflows, templates, automation frameworks, scripts, software configurations, processes, intellectual property, and proprietary systems used in producing such deliverables.

Advertising Platform Disclaimer

Magnitude provides advertising strategy, campaign management, lead generation, and related services through third-party advertising platforms.

Magnitude shall not be liable for:

  • Advertising account suspensions
  • Advertising account restrictions
  • Ad disapprovals
  • Audience limitations
  • Platform policy changes
  • Algorithm changes
  • Loss of advertising functionality
  • Third-party software integrations
  • Advertising platform outages
  • Advertising performance fluctuations

including but not limited to actions taken by Google, Meta, Instagram, Facebook, LinkedIn, Microsoft, TikTok, YouTube, or any other advertising platform.

SEO and Search Visibility Disclaimer

Search engine rankings and visibility are controlled by independent third parties.

Magnitude does not guarantee:

  • Search rankings
  • Google Maps rankings
  • Google Business Profile rankings
  • AI search visibility
  • Featured snippets
  • Local pack placement
  • Organic traffic increases
  • Search engine indexing
  • Specific lead generation results

Search engine performance is subject to factors beyond Magnitude’s control.

CRM, Automation, and Data Disclaimer

Clients are responsible for maintaining independent backups of all business data, customer records, marketing assets, websites, and CRM information.

Magnitude shall not be liable for:

  • Data loss
  • CRM corruption
  • Automation failures
  • Software malfunctions
  • API failures
  • Third-party integration failures
  • Platform outages
  • Client configuration errors
  • Unauthorized access caused by client credential sharing

Clients are encouraged to maintain their own backup procedures and security practices.

SMS, Email, and Marketing Compliance

Clients remain solely responsible for ensuring that all marketing activities conducted through Magnitude’s systems comply with applicable laws and regulations, including but not limited to:

  • Telephone Consumer Protection Act (TCPA)
  • CAN-SPAM Act
  • State privacy laws
  • Consumer protection laws
  • Email marketing regulations
  • SMS marketing regulations
  • Data protection regulations

Clients represent that they possess all necessary permissions, consents, and legal authority required to contact individuals whose information is submitted to Magnitude systems.

Magnitude shall not be liable for violations arising from client-provided data, lists, communications, or instructions.

Beta Features and Experimental Services

Magnitude may provide beta, experimental, pilot, preview, or pre-release products, software features, automations, AI systems, and functionality.

Such features are provided strictly on an “AS IS” basis and may:

  • Contain errors
  • Change without notice
  • Be modified
  • Be suspended
  • Be discontinued

Magnitude makes no warranties regarding the availability, reliability, or performance of beta features.

Platform Suspension Rights

Magnitude reserves the right to suspend, limit, disable, or terminate access to any website, CRM platform, software system, automation platform, marketing account, AI system, or other service under its management if:

  • Payment obligations are not satisfied
  • Security concerns arise
  • These Terms are violated
  • A legal or regulatory issue exists
  • Continued access presents operational risk

Suspension of services shall not relieve a client of payment obligations accrued prior to suspension.

Chargeback and Payment Disputes

Clients agree to provide Magnitude written notice of any billing dispute and allow Magnitude thirty (30) days to investigate and attempt resolution before initiating a chargeback or payment dispute.

Nothing herein waives any legal rights available to consumers under applicable law.

Unauthorized chargebacks, fraudulent payment disputes, or abuse of payment systems may constitute a material breach of these Terms and may result in collection actions, service suspension, account termination, and recovery of associated costs.

Emergency Equitable Relief

Notwithstanding any arbitration provision contained herein, either party may seek temporary, preliminary, or permanent injunctive relief from a court of competent jurisdiction to protect:

  • Trade secrets

  • Proprietary technology
  • Customer data
  • System security

Seeking such relief shall not waive any right to arbitration for the underlying dispute.

Expanded Force Majeure

Magnitude shall not be liable for delays, interruptions, failures, or inability to perform resulting from causes beyond its reasonable control, including but not limited to:

  • Flood
  • Severe weather
  • Acts of God
  • War
  • Terrorism
  • Labor disputes

  • Cloud service disruptions

  • Government actions
  • Public health emergencies

Performance obligations affected by such events shall be suspended for the duration of the event.
